What this looks like in practice.

The Situation

A multi-location healthcare practice received a $3.8M acquisition offer from a regional hospital system. The owner had no independent valuation, no financial package, and no leverage.

What We Did

We built a valuation incorporating provider-level profitability, payer mix, and patient volume trends the buyer had overlooked. We modeled three deal structures and identified that a stock sale with an earnout would save the seller $180K compared to the proposed asset sale.

The Result

The negotiated price was $5.0M, which was $1.2M above the initial offer, and the stock sale structure saved an additional $180K in taxes. Total incremental value captured: over $1.3M.
