Terms of Use

Effective April 10, 2026

These Terms of Use ("Terms") govern your access to and use of nstarfinance.com and any related subdomains, pages, or microsites operated by Northstar Financial Advisory, LLC ("Northstar," "we," "us," or "our") (together, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not access or use the Site.

These Terms govern your use of the Site only. Engagement-level services Northstar provides to clients (including bookkeeping, fractional CFO, accounting, tax, and consulting services) are governed by the applicable Service Agreement, Tax Service Agreement, or engagement letter you sign with us. To the extent of any conflict between these Terms and a signed engagement agreement, the engagement agreement controls.

1. Eligibility

The Site is intended for business users who are at least 18 years of age. By using the Site, you represent and warrant that you meet these requirements and that you have the legal authority to enter into these Terms on behalf of yourself or any entity you represent.

2. Informational Content Only; No Professional Relationship

The articles, guides, calculators, benchmarks, templates, frameworks, checklists, dashboards, sample documents, and any other content made available on the Site (collectively, the "Content") are provided for general informational and educational purposes only. The Content reflects general industry observations and is not tailored to any specific business, transaction, jurisdiction, fact pattern, or set of objectives. The Content does not constitute, and should not be relied upon as, accounting, tax, legal, financial, investment, valuation, regulatory, compliance, audit, or any other professional advice. Benchmarks, ranges, and example numbers shown in the Content are general estimates only and are not a representation of what any particular business will or should achieve.

Nothing on the Site, no submission of any contact form, no request for a gated resource, no scheduled meeting, no telephone call, no email exchange, and no other communication with Northstar prior to your execution of a written engagement agreement creates an advisor-client, consultant-client, attorney-client, fiduciary, agency, or any other professional or confidential relationship between you and Northstar. Northstar is not a public accounting firm and does not act as your agent, broker, fiduciary, or investment advisor. Northstar undertakes no duty of care to website visitors or to prospective clients absent a signed engagement letter. Before acting or refraining from acting on the basis of any Content, you should consult a qualified professional who has been formally engaged and is familiar with your specific facts and circumstances. Your use of the Content is at your own risk and your sole responsibility.

3. Intellectual Property

All content on the Site, including text, articles, graphics, logos, images, audio, video, calculators, templates, downloadable materials, software, and the design and selection and arrangement thereof, is the property of Northstar or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own personal, non-commercial, business reference use. Except as expressly permitted, you may not copy, reproduce, distribute, publish, display, transmit, modify, create derivative works of, sell, lease, rent, or otherwise exploit any part of the Site without our prior written consent. Reasonable internal sharing of articles for educational purposes within your organization is permitted, provided attribution to Northstar is preserved.

4. Trademarks

"Northstar Financial Advisory," "Northstar Financial Consulting Group," the Northstar logo, and any other Northstar names, marks, slogans, and designs (including page designs and color schemes) are trademarks or service marks of Northstar. You may not use any of our trademarks without our prior written permission. All other trademarks and service marks that appear on the Site are the property of their respective owners.

5. User Submissions

When you submit a contact form, schedule a meeting, request a gated resource, send us an email, or otherwise transmit information to or through the Site (each, a "Submission"), you represent and warrant that the Submission is accurate, complete, lawful, and that you have all rights necessary to provide it. You grant Northstar a perpetual, irrevocable, transferable, sublicensable, fully paid-up, royalty-free, worldwide license to use, copy, store, host, process, transmit, modify, adapt, translate, create derivative works from, distribute, perform, and display each Submission, in whole or in part, in any medium and by any means now known or later developed, for any lawful business purpose, including responding to you, delivering requested materials, marketing, analytics, training, content development, and operating and improving Northstar's business. Northstar's use of personal information contained in any Submission is subject to our Privacy Policy.

You should not submit any information through the Site that is confidential, privileged, sensitive, regulated, or that you do not want to be in our possession. The Site is not a secure channel for the exchange of confidential client documents, source financial records, personally identifiable information of third parties, protected health information, payment card data, or any other sensitive data. By making a Submission, you acknowledge and agree that the Submission is not confidential or privileged, and that Northstar has no duty of confidentiality with respect to it except as expressly set forth in our Privacy Policy or in a signed engagement agreement. If you become a client, Northstar will provide secure document exchange tools as part of the engagement.

Northstar may also use any feedback, suggestions, ideas, proposals, or recommendations you provide regarding the Site, the Content, or our services (collectively, "Feedback") without any obligation of compensation, attribution, or confidentiality. You hereby assign to Northstar all right, title, and interest in and to any Feedback, including all intellectual property rights therein.

6. Acceptable Use

You agree not to use the Site to:

  • Violate any applicable law, regulation, or third-party right
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Submit false, inaccurate, or misleading information through any form
  • Attempt to gain unauthorized access to any portion of the Site, our servers, networks, or any related systems
  • Probe, scan, or test the vulnerability of the Site or any related infrastructure
  • Interfere with, disrupt, or place an unreasonable load on the Site or its underlying infrastructure
  • Use any automated means (including bots, scrapers, or crawlers) to access the Site or collect data from it without our prior written consent, except for well-behaved search engine crawlers operating consistent with our robots.txt
  • Transmit any virus, worm, malicious code, or other harmful software
  • Use, copy, scrape, ingest, reproduce, or otherwise process any part of the Site or the Content for the purpose of developing, training, fine-tuning, evaluating, benchmarking, grounding, retrieving, augmenting, or otherwise improving any artificial intelligence system, machine learning model, large language model, vector database, search index, or similar technology, in whole or in part, without Northstar's prior express written consent. Northstar expressly reserves all rights with respect to AI training, inference, and retrieval-augmented generation, and the publication of Content on the Site does not constitute a license for any such use
  • Reproduce, frame, mirror, syndicate, or redistribute any part of the Site or the Content for commercial purposes without Northstar's prior written consent
  • Use the Site or the Content in connection with any competitive analysis, benchmarking, or product development directed at services that compete with Northstar
  • Interfere with or attempt to disrupt Northstar's business relationships with its clients, prospects, employees, contractors, vendors, or service providers

7. Third-Party Links and Resources

The Site may contain links to third-party websites, tools, or resources. Those links are provided for your convenience only. We do not endorse, control, or assume responsibility for any third-party content, products, or services. Your access to and use of any third-party site or service is at your own risk and subject to that third party's terms.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, MATERIALS, TOOLS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. NORTHSTAR DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, NORTHSTAR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE COMPLETE, ACCURATE, RELIABLE, OR CURRENT. ANY RELIANCE YOU PLACE ON SUCH CONTENT IS STRICTLY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NORTHSTAR, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, DATA, GOODWILL, OR REPUTATION, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, BREACH OF WARRANTY, OR ANY OTHER BASIS), AND REGARDLESS OF WHETHER NORTHSTAR HAS BEEN ADVISED OF, KNEW OF, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NORTHSTAR AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS, YOUR ACCESS TO OR USE OF THE SITE, OR ANY CONTENT MADE AVAILABLE THROUGH THE SITE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES, IF ANY, YOU HAVE PAID NORTHSTAR FOR USE OF THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (WHICH, BECAUSE ACCESS TO THE SITE IS PROVIDED FREE OF CHARGE, IS ZERO DOLLARS), OR (B) FIFTY U.S. DOLLARS ($50). YOU AGREE THAT THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND NORTHSTAR AND ARE AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU IN ITS ENTIRETY. IN SUCH JURISDICTIONS, NORTHSTAR'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Time Limit on Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE THE CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED. THIS PROVISION CONSTITUTES THE PARTIES' AGREEMENT TO SHORTEN THE STATUTE OF LIMITATIONS UNDER CALIFORNIA CODE OF CIVIL PROCEDURE SECTION 360.5 AND ANY OTHER APPLICABLE LAW.

11. Class Action and Jury Trial Waiver

YOU AND NORTHSTAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. UNLESS BOTH YOU AND NORTHSTAR AGREE OTHERWISE IN WRITING, NO COURT MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

EACH OF YOU AND NORTHSTAR HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, REGARDLESS OF WHETHER SUCH ACTION OR PROCEEDING SOUNDS IN CONTRACT, TORT, OR OTHERWISE.

12. Equitable Relief

You acknowledge that any breach or threatened breach by you of Sections 3 (Intellectual Property), 4 (Trademarks), 5 (User Submissions), or 6 (Acceptable Use) would cause Northstar irreparable harm for which monetary damages would be inadequate. Accordingly, Northstar is entitled to seek immediate injunctive and other equitable relief in any court of competent jurisdiction, without the requirement of posting a bond or proving actual damages, in addition to any other remedies available at law or in equity.

13. Indemnification

You agree to defend, indemnify, and hold harmless Northstar and its affiliates and their respective officers, directors, members, managers, employees, contractors, agents, representatives, licensors, and service providers (each a "Northstar Indemnified Party") from and against any and all claims, demands, suits, actions, proceedings, liabilities, judgments, settlements, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys' fees, court costs, and expert fees) arising out of or relating in any way to: (a) your access to or use of the Site or any Content; (b) any Submission you make to or through the Site; (c) your violation of these Terms; (d) your violation of any law or regulation; (e) your violation of any third party right, including any intellectual property, privacy, publicity, or contractual right; or (f) your negligence, willful misconduct, or fraud. Northstar reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Northstar, in which case you agree to cooperate with Northstar's defense and to use counsel selected by Northstar. You may not settle any matter without Northstar's prior written consent.

14. Governing Law and Venue

These Terms and any dispute, claim, or controversy arising out of or related to them, the Site, or your use of the Site (whether in contract, tort, or otherwise) are governed by the laws of the State of California, without regard to its conflict-of-laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods. You agree that any action shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you irrevocably consent and submit to the personal jurisdiction of those courts and waive any objection to venue in those courts, including any objection based on forum non conveniens. The prevailing party in any action arising out of or related to these Terms shall be entitled to recover its reasonable attorneys' fees and costs from the non-prevailing party, to the fullest extent permitted by law.

15. Termination

Northstar reserves the right, in its sole discretion and without notice or liability, to suspend, terminate, restrict, modify, or block your access to all or any part of the Site, at any time and for any reason or no reason, including if Northstar believes you have violated these Terms or engaged in conduct that may harm Northstar, the Site, or any third party. Northstar may also modify, suspend, or discontinue the Site or any portion of it at any time without notice. The provisions of these Terms that by their nature should survive termination (including, without limitation, Sections 2 (No Professional Relationship), 3 (Intellectual Property), 4 (Trademarks), 5 (User Submissions), 6 (Acceptable Use), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Time Limit on Claims), 11 (Class Action and Jury Trial Waiver), 12 (Equitable Relief), 13 (Indemnification), 14 (Governing Law and Venue), and 18 (General)) will survive any termination.

16. Changes to These Terms

Northstar may revise these Terms at any time, in its sole discretion, by posting the revised Terms on the Site. The revised Terms are effective immediately upon posting, and the "Effective" date at the top of the page indicates the most recent revision. You are responsible for reviewing these Terms periodically. Your continued access to or use of the Site after any revision constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, your sole remedy is to stop using the Site.

17. Force Majeure

Northstar will not be liable or responsible for any failure or delay in performance, or for any interruption, error, or degradation of the Site, that is caused by or results from any event or condition beyond Northstar's reasonable control, including acts of God, natural disasters, fire, flood, earthquake, severe weather, pandemic or epidemic, war, terrorism, civil unrest, strikes or labor disputes, government action, embargoes, internet or telecommunications outages, hosting or service provider failures, denial-of-service attacks, or other cyber incidents.

18. General

Entire Agreement. These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the entire agreement between you and Northstar with respect to your use of the Site and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the same subject matter.

Severability and Reformation. If any provision of these Terms is held to be invalid, illegal, or unenforceable in any respect, that provision shall be reformed and construed to the maximum extent permitted by law to give effect to its original intent, and the remaining provisions shall continue in full force and effect.

No Waiver.Northstar's failure to enforce any right or provision of these Terms is not a waiver of that right or provision. No waiver by Northstar of any breach or default is a waiver of any subsequent breach or default. Any waiver must be in a writing signed by an authorized representative of Northstar.

Assignment.You may not assign, delegate, or transfer these Terms or any of your rights or obligations under them, in whole or in part, by operation of law or otherwise, without Northstar's prior written consent. Any attempted assignment in violation of this Section is null and void. Northstar may freely assign or transfer these Terms, in whole or in part, without restriction or notice. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

Notices to Northstar. Any legal notice to Northstar required or permitted under these Terms must be made in writing and delivered to the address set forth in Section 19 by certified mail, return receipt requested, or by nationally recognized overnight courier with tracking. Notice by email or through any contact form on the Site is not sufficient for legal notice. Northstar may provide notice to you by email, by posting on the Site, or by any other reasonable method.

No Third-Party Beneficiaries. These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Northstar (and any Northstar Indemnified Party with respect to Section 13).

Headings. Section headings are for convenience of reference only and do not affect the interpretation of these Terms.

Independent Contractors. The relationship between you and Northstar is that of independent parties. No partnership, joint venture, employment, agency, or fiduciary relationship is created by these Terms or your use of the Site.
